Terms of Service

These Terms govern your use of the BookedCalls.ai service (the “Service”) provided by Epic Software Labs Ltd, a company registered in England and Wales (company number 16576534) trading as “BookedCalls” or “BookedCalls.ai” (“we”, “us”, “our”). By signing up, signing a Statement of Work (SOW), or otherwise using the Service, you (“Customer”, “you”) agree to these Terms.

1. The Service

BookedCalls provides a B2B sales-pipeline platform that combines automated email outreach, dialer-driven phone outreach, AI-assisted research and message generation, and operational support to book qualified sales calls on the Customer’s behalf. The Service is delivered through our admin and client web applications and the underlying data pipeline.

2. Sign-up, accounts, and authorised users

Account access is gated by Clerk-managed authentication. You are responsible for protecting your credentials and for all activity that occurs under your account. You may invite additional team members as “workspace members”; you remain responsible for their compliance with these Terms.

3. Fees, billing, and refunds

  • Pricing: Standard pricing is a one-time setup fee of £2,500 plus a £500/month subscription with a 3-month minimum commitment. After the minimum term, the subscription continues month-to-month. Variations are recorded in your SOW.
  • Payment: Setup is invoiced via Stripe with BACS Direct Debit and bank transfer enabled. The monthly subscription is collected automatically (BACS Direct Debit by default; cards supported).
  • Cancellation: You may cancel the monthly subscription at any time from the Billing page. Cancellation takes effect at the end of the then-current monthly period; the Service remains active until that date.
  • Refunds: The setup fee is non-refundable once kickoff has occurred. Monthly fees are non-refundable on a pro-rata basis but unused future periods are not charged after cancellation.
  • Late payment: We reserve the right to suspend the Service if a payment is more than 7 days overdue, after sending notice.

4. Service level — best efforts, not guarantees

We commit to a best-efforts standard of delivery. We do not guarantee a specific number of booked meetings, reply rate, or revenue outcome. Realistic ranges are discussed during discovery and may be communicated verbally, but are not warranties unless expressly set out in writing in your SOW.

5. Customer responsibilities

  • Providing accurate ICP, target audience, and brand-voice inputs via the intake form.
  • Approving lead lists and email copy in a timely manner so campaigns can launch.
  • Ensuring you have a lawful basis (typically legitimate interest under UK GDPR Article 6(1)(f), or consent where required) for the processing of prospects’ personal data uploaded to or sourced through the Service.
  • Promptly honouring opt-out, suppression, and erasure requests received from prospects, and notifying us so the global suppression list is updated.
  • Not using the Service for spam, fraud, harassment, or any unlawful purpose.

6. Acceptable use

You may not use the Service to:

  • Send messages to recipients you do not have a lawful basis to contact.
  • Impersonate any person or entity.
  • Send content that is misleading, defamatory, obscene, or otherwise unlawful.
  • Attempt to circumvent rate limits, suppression, or other safety controls.
  • Probe, scan, or test the vulnerability of the Service without prior written consent.

We may suspend or terminate the Service for breach of this section without refund.

7. Intellectual property

We retain all right, title, and interest in the Service, including the platform code, models, prompts, and aggregated, anonymised performance data. You retain all right, title, and interest in your inputs (ICP brief, brand assets, lead lists) and in the outputs we generate exclusively for you.

We may use aggregated, anonymised data (no Customer or prospect personal data) to improve the Service.

8. Confidentiality

Each party will protect the other party’s confidential information using the same care it uses for its own confidential information (and no less than reasonable care). Confidential information excludes information that becomes publicly available through no fault of the receiving party, was independently developed, or is required to be disclosed by law.

9. Data protection

Our processing of personal data on your behalf is governed by our Data Processing Agreement (DPA), incorporated by reference. Our handling of personal data of which we are the controller is described in our Privacy Policy.

10. Limitation of liability

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot be limited under English law.

Subject to that: our total aggregate liability arising out of or in connection with these Terms in any 12-month period is capped at the fees paid by you in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special losses, lost profits, lost revenue, lost data, or loss of business opportunity.

11. Term and termination

These Terms apply from the date you sign up and continue until your subscription is cancelled and any outstanding fees have been paid. Either party may terminate immediately for material breach not remedied within 14 days of written notice.

On termination: we will stop campaigns, return or delete Customer data per the DPA, and provide a final report.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising under or in connection with them.
